Prosieben, shareholders’ meeting rejects Mfe spin-off proposal

MUNICH/MILAN (Reuters) – The shareholders’ meeting of ProSiebenSat.1 rejected the proposal presented by the main shareholder MFE-MediaForEurope which asked the management of the German group to prepare the split of the digital activities from the television ones.

The proposal was voted by 71% of the share capital present at the meeting, therefore below the threshold required for the green light set at 75%. Mfe holds approximately 30% of the voting rights in ProSiebenSat.1.

A spokesperson for Mfe said he was satisfied with the support of shareholders despite the proposal not being passed.

“We expect the management of ProSiebenSat.1 and the supervisory board in the new composition to immediately get to work to achieve tangible results that increase the value of the company for the benefit of all shareholders,” says the spokesperson.

The meeting also voted on the nomination of Leopoldo Attolico, nominated by Mfe for the supervisory board, and Christoph Mainush, proposed by PPF, the second main shareholder of Prosieben. Therefore, the two candidates proposed by the board of the German group for the two positions on the board that had to be renewed were rejected.
