The Crt Foundation inside Banca d’Asti with councilor Gola

Fondazione Crt enters the control room of Banca di Asti with Gian Luigi Gola from Cuneo. The announcement will be made official in the afternoon during the ordinary shareholders’ meeting which will meet, once again, remotely, on a web platform. The entry of the thirteenth director is the result of the shareholders’ agreement that Fondazione Cassa di Risparmio di Asti, the majority shareholder, signed on 12 April with Fondazione Crt, at the same time as the agreement with which the latter undertook to acquire 6% of the Asti banking group. The earthquake in the Crt Foundation, which culminated in the thunderous resignation of the president Fabrizio Palenzona, did not call into question the agreements christened today by the shareholders’ meeting. Professor at the economics faculty of the University of Turin, at the SAA and at the University of Nice in France, accountant, auditor and judicial commissioner, Gola boasts long experience in boards of auditors of primary public and private companies. Among his roles in the banking sector, his many years of experience as a director of Ubi Banca stands out, before it was acquired by Intesa Sanpaolo. Now he is called to follow the implementation of the pact between Asti and Turin which is worth 40 million euros. At the time of closing, Banca di Asti sold its own shares to Fondazione Crt for approximately 10.9 million euros, equal to 1.77% of the capital; the remaining amount to reach 6% of the capital subject to the transfer will be recovered on the free market. Between 21 June and 4 October Banca di Asti will purchase from small shareholders (who currently hold 41% of the capital) up to a maximum of 2,982,223 own shares, at a maximum unit value of 8.75 euros agreed with Turin . The extraordinary intervention will take place via the multilateral trading system Vorvel which has already shown signs of interest in the operation. Last Friday’s auction recorded the entry of 338 sales offers for a total of almost 421 thousand shares at the target price. Meanwhile, in the first days of May the shareholders of the Cassa di Risparmio di Asti Group will collect a coupon of 0.30 euros per share, 50% more than last year, after one year and which has boosted the Bank’s net profit of Asti at 85 million euros (+114%) and the consolidated net profit at 79 million euros (+118%). The results of the 2023 budget “show a decisive increase in all indicators of structural robustness despite the complex market context”, reports the board of directors. Overall collection rose by 3.8% to 17.9 billion euros. From customers the bank has collected a treasure of 10.4 billion, substantially stable (+0.8%) and in contrast with the banking system which records an average decrease of 1.5 percent. In 2023, Banca di Asti transferred the business unit relating to merchant acquiring (POS) to the BCC Pay company of the Pay Holding Group: the operation resulted in a capital gain of approximately 35 million euros. Banca di Asti has 209 branches in Piedmont, Lombardy, Valle d’Aosta, Liguria and Veneto, and 1600 employees; the subsidiary Pitagora, the third largest consumer credit company in Italy, has 86 branches and 209 employees. At Group level, there were 164 hires during 2023. The corporate structure currently sees Fondazione Cassa di Risparmio di Asti at 31.8%, Fondazione Cassa di Risparmio di Biella at 12.91%, Banco BPM at 9%, 99%, Fondazione Cassa di Risparmio di Vercelli 4.20%, Fondazione Crt 1.77% of the capital.
