The Italian government has given the green light to the operation of vsale of Vodafone Italia to Swisscom. This was announced by the Swiss telephone operator, explaining that the Presidency of the Council of Ministers confirms in its resolution, received by Swisscom on 17 May 2024 that “the notified operation does not pose a threat of serious harm to national interests and that, therefore, the conditions for the exercise of the special powers referred to in Article 2 of Legislative Decree no. do not exist. 21 of 2012″ (Golden Power legislation).
The acquisition of Vodafone Italia – underlines Swisscom – proceeds in line with schedule expected. The completion of the transaction is still subject to further regulatory and other customary approvals and is expected to occur in first quarter 2025.
The legislation on Golden Power – the note recalls – reserves to the Italian Government special powers to intervene in certain transactions, investments or corporate resolutions that could compromise or prejudice the essential public interests of Italy, allowing it to assert its veto or impose special conditions and prescriptions.
