The law firm Pavia and Ansaldowith a team formed by the partner Alberto Bianco and the senior associate Martina Villafor all corporate, M&A and banking profiles, as well as by the partner Francesco Vitellain relation to labor law profiles, assisted Ilma Wooda company controlled by Orienta Capital Partners through the Fa R Evolution project, in the acquisition of all the shares of Fasa Cuneo company known for the design and production of wooden windows and doors.
The investment in Fas constitutes the first add-on for Ilma, a Cuneo-based company specialized in the design and production of roofs, walls and other wooden structures for traditional and green building, in the Fa R Evolution portfolio from August 2022.
The fiscal and financial aspects of the operation were handled, on behalf of the buyer, by Grant Thorntonwith a team made up of Gianni Bitetti And Mattia Tencalla for the tax aspects and by Stefano Marchetti, Edoardo Dell’Acqua, Lorenzo Bonciani and Francesco Tutucci for the financial due diligence part; while Claudio De Nadai of Bmodel oversaw the drafting of the joint industrial plan.
The sellers, who reinvested in the project with a minority stake, were assisted by Advant Nctm for all corporate and M&A profiles with a team made up of partners Manfredi Luongo And Alessia Trevisan and the associate Marianna Loprevite.
For the operational aspects, the sellers were assisted by the company Sistema Valore with a team composed of Roberto Cucchi and Egidio Ghilardi. Viel Consulting Group, with managing partner Dr. Fabrizio Viel, acted as financial advisor to the sellers.
