FNM, new Board of Directors elected. Gibelli confirmed as executive president and Arnoldi as vice

The shareholders’ meeting of FNMa company listed on Euronext Milan and active in integrated mobility in Lombardy, has approved the balance of financial year 2023 and the distribution of dividend equal to 0.023 euros per share gross of any legal withholdings. The dividend will be paid starting from 5 June 2024, with ex-dividend date no. 15 on June 3, 2024 and record date on June 4, 2024.

The members, after having determined the number of members of the new Board of Directors who will remain in office for the three-year period 2024-2026, resolved the appointment of six members forming part of the list presented by the majority shareholder Lombardy Region (owner of 57.574% of the share capital) which obtained favorable votes equal to 73.692% of the capital present and voting, and the appointment of a director from the list presented by the shareholder Ferrovie dello Stato Italiane (owner of 14.741%), which obtained favorable votes equal to 20.982% of the capital present and voting. Confirmed in office President Andrea Angelo Gibellipart of the list presented by the Lombardy Region Shareholder.

The new Board of Directors looks like this composed: 1. Andrea Angelo Gibelli – President 2. Gianantonio Arnoldi 3. Fulvio Caradonna 4. Francesca Pili 5. Maria Teresa Tomaselli 6. Ivo Roberto Cassetta 7. Paola Panzeri (taken from the list presented by the shareholder Ferrovie dello Stato Italiane).

The newly appointed Board of Directors has appointed the Director Gianantonio Arnoldi Which Vice president and resolved to assign general operational powers to the President – as CEO of the company – and to confer specific powers relating to the promotion, supervision, coordination and implementation of initiatives of a strategic nature for the FNM group in the infrastructure sector to the Director Fulvio Caradonna and to the Director Francesca Pili specific powers relating to the identification, promotion, supervision and coordination of initiatives of a strategic nature for the FNM group in the sector of technological innovation and development of digital platforms.
